Trade Terms

These terms apply to trade and wholesale orders for Citadel Hardware products. Citadel Hardware is a brand of Citadel Precision Works, Shed No. 45/A, Sardar Patel Estate, Gokulnagar Main Road, Jamnagar, Gujarat 361005, India (“we”, “us”). Every order is confirmed by a written proforma invoice. Where the proforma says something different from these terms, the proforma applies.

Quotes and prices

  • Quotes are in US dollars unless agreed otherwise, and are valid for 30 days.
  • Brass prices follow the copper and zinc markets. An order confirmed after a quote expires is re-quoted.
  • Prices are ex works Jamnagar and include standard packing. Freight, insurance, import duties and taxes are not included unless the quote says so.
  • Special packing, labels, barcodes and inserts are quoted separately.
  • You pay all bank charges, including intermediary bank fees, so that we receive the full invoice amount.

Minimum order

The minimum is 30 pieces per design and finish. Smaller quantities can be bought at the website price through our shop.

Payment

  • A 50% advance is due when you confirm the order. The balance is due before dispatch, when we send you photos of the finished goods and the packing list.
  • Payment is by bank transfer to the account shown on our proforma invoice. We never change bank details by email. If you receive a message saying they have changed, call us on +91 73838 38145 before you pay.
  • Production starts when the advance arrives and the samples or drawings are approved in writing.
  • We do not offer credit terms on first orders.
  • Goods remain our property until they are paid for in full.

Lead time

Standard designs and finishes take 3 to 4 weeks from the advance payment and the approval of samples or drawings. Custom designs, new finishes and large orders get their own lead time in the quote. Lead times are estimates, and we are not responsible for delays caused by events outside our control, such as power cuts, strikes, port or courier delays, extreme weather or public holidays.

Samples

  • Samples are paid. Buy single pieces through our shop at the website price, or ask us for a sample set and we will send a proforma.
  • If you place your first trade order within 90 days of buying samples, we deduct the sample value, excluding shipping, from that order.
  • Free samples are only given when we have agreed it in writing.

Custom designs and private label

  • Development, tooling and pre-production samples for custom designs are quoted separately and paid in full before work starts. These charges are not refundable once work has started.
  • You confirm that any drawings, designs, logos or trade marks you send us are yours to use, and you are responsible for any claim that they infringe someone else’s rights.
  • Our own designs, including those filed for registration in India, remain ours. Selling our designs under your brand needs a separate written agreement.
  • Custom and private-label orders cannot be cancelled or returned once production has started.

Approval and finishes

The approved sample or drawing sets the standard for the order. Our finishes are applied by hand, so small differences in tone between batches are normal. Pieces within one order are matched.

Shipping and risk

  • Samples and parcels ship by DHL Express. Pallet and container orders ship ex works Jamnagar or FOB Mundra, as stated on the proforma.
  • Risk passes to you as set by the Incoterm on the proforma (Incoterms 2020).
  • Import duties, taxes, customs brokerage and any storage charges at the destination are paid by you.
  • Transit insurance is your responsibility unless the quote includes it.

Checking goods and claims

  • Please check the goods when they arrive. Report shortages, wrong items or transit damage within 7 days of delivery, with photos of the cartons and the pieces.
  • Trade orders cannot be returned because of a change of mind.

Warranty

  • We guarantee our products against defects in material and workmanship for 12 months from delivery, under normal indoor use.
  • The warranty does not cover normal wear or the natural ageing of brass and its finishes, damage from cleaning chemicals or abrasive cloths, outdoor, coastal or pool installations, incorrect installation or over-tightening, or pieces that have been modified.
  • For a valid claim we repair, replace or credit the defective pieces, at our choice. We may ask for photos or for the pieces to be sent back first.

Liability

Our total liability for an order is limited to the price paid for the goods concerned. We are not liable for indirect or consequential losses, including installation or removal labour, lost profit or project delays.

Cancellation

A standard order can be cancelled before production starts, and we refund the advance less any bank charges. Once production has started, we keep the advance to cover materials and work done.

Law and changes

These terms are governed by the laws of India, and the courts of Jamnagar, Gujarat have jurisdiction. We may update these terms. The version published on the date of your proforma invoice applies to your order.
